1. Parties
These terms apply between Nuvia Ventures (referred to as “BroData”, “we”, “us”) and the individual or business engaging our services (referred to as “you”, “the client”).
2. Engagement
A project begins once we have agreed scope, price, and deliverables in writing (WhatsApp messages, email, or invoice both count), and the deposit has been received. We will share a written scope summary before work starts.
3. Pricing and payment
- Prices listed on the website are starting points. Final quotes are confirmed in writing.
- Standard terms: flat RM50 deposit on confirmation, balance on handover.
- Payment by bank transfer or DuitNow QR. Invoices are issued under Nuvia Ventures (SSM-registered).
- Prices are in Malaysian Ringgit (RM).
4. Revisions and scope
One round of revisions is included in standard project scope. Additional rounds or out-of-scope changes are billed separately and quoted before work continues.
5. Bug-fix support
After handover, we provide 7 days of bug-fix support for issues caused by our work. This does not cover new features, expanded scope, or issues caused by changes you make after handover.
6. Ownership and licensing
- You own the final deliverables once full payment is received.
- You also own your input data at all times.
- BroData retains the right to feature the project anonymously (or by name, with your written permission) in our portfolio.
- BroData retains generic methods, code patterns, and templates used during the work for re-use across future projects.
7. Refunds
If we determine that we cannot deliver what was agreed, we refund the deposit in full. Refunds are not available for changes of mind once work has substantively progressed, but we will work in good faith to adjust scope where possible.
8. Confidentiality
We treat all client data and business information as confidential. We will not disclose it to third parties without your consent, except where required by law. See the Privacy Policy for handling specifics.
9. Liability
BroData provides analytical and software work in good faith. Decisions made on the basis of our deliverables (such as stock orders, hiring choices, or campaigns) are the client's responsibility. Our maximum liability for any claim is limited to the total fees paid for the engagement giving rise to the claim.
10. Cancellation
- You may cancel a project at any time. The deposit covers work completed up to the cancellation point and is non-refundable once work has started, unless covered by clause 7.
- BroData may decline or withdraw from a project if scope or expectations cannot be reasonably agreed. In such cases, any unworked portion of the deposit is refunded.
11. Governing law
These terms are governed by the laws of Malaysia. Any disputes will first be addressed in good faith between the parties, and failing that, in the courts of Malaysia.
